Please read these Terms of Service carefully before using our website or engaging with VX9Studio. By accessing our services, you agree to be bound by these terms.

1. Agreement to Terms

By accessing the website at vx9studio.com, or by engaging VX9Studio to perform software design and development services, you agree to comply with and be bound by these Terms of Service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws.

If you do not agree with any of these terms, you are prohibited from using or accessing this site or our services.

2. Scope of Services

VX9Studio is a software design and development studio. We provide Kotlin/Android development, Swift/iOS development, React/Next.js web application development, cloud backend configuration, and UI/UX design services.

Specific deliverables, timelines, milestones, and payment terms for each project are governed by a separate, signed statement of work (SOW) or contract. In the event of a conflict between these terms and a specific project contract, the project contract shall prevail.

3. Client Responsibilities

Clients are responsible for providing all necessary business requirements, feedback, graphic assets, API keys, and server/platform credentials required for us to perform the services.

Delays in providing client-side requirements or approvals may result in schedule adjustments and timeline extensions. Clients are also responsible for making scheduled milestone payments as agreed upon in writing.

4. Intellectual Property & Code Ownership

Unless stated otherwise in a separate signed contract, all right, title, and interest in and to custom deliverables, source code, and assets designed and developed specifically for a client will be transferred to that client upon receipt of final and full payment.

VX9Studio retains all rights to its pre-existing materials, developer tools, libraries, generic helper routines, and background IP used in the creation of deliverables.

5. Warranties & Limitation of Liability

We build software according to standard industry practices. However, software is inherently complex, and we do not warrant that deliverables will be 100% bug-free or run uninterrupted on all user environments.

To the maximum extent permitted by law, VX9Studio and its founder shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from the use or inability to use the delivered software.

6. Governing Law

These Terms of Service and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Sri Lanka, without giving effect to any principles of conflicts of law.

Any legal suit, action, or proceeding arising out of, or related to, these terms or our services shall be instituted exclusively in the courts of Sri Lanka.
